Who you are agreeing with
The contracting entity and governing law have not been set, which is why this document is marked as a draft above. Until they are, there is no identified counterparty and these terms cannot be relied on by either side.
By creating an account or using the service you accept these terms. If you are accepting on behalf of an organisation, you are confirming you have authority to bind it.
The service
Finomium provides auth, workflow, email, calendar, rules and file storage as a hosted platform, reached through the web console and the HTTP API. We may add, change or remove features; where a change removes something you depend on, we will give reasonable notice rather than doing it silently.
Your account
- You are responsible for what happens under your account, including what people you invite into it do.
- Keep your credentials secure. We strongly recommend enabling multi-factor authentication or a passkey; both are available on every plan.
- Tell us promptly if you believe an account has been compromised.
- You must be old enough to enter a contract where you live, and the service is not directed at children.
Acceptable use
You may not use the service to:
- Send unsolicited bulk email, or email to recipients who have not agreed to hear from you. The email service exists to send mail people asked for.
- Break the law, infringe someone else's rights, or store or distribute material you have no right to.
- Attempt to gain access to accounts, tenants or data that are not yours, or to probe, scan or load-test the platform without written permission. Good-faith security research is welcome - see the security page for how to do it without breaching this clause.
- Resell or white-label the platform as your own without an agreement permitting it.
We may suspend an account that is causing harm to other customers or to the platform. Where we can, we will tell you first; where the harm is active, we may act first and explain after.
Fees
Paid plans are billed in advance, monthly or annually, through Stripe, PayPal or Braintree. Annual billing is charged at ten months' rate for twelve months' service.
The prices currently shown on the pricing page are indicative and not yet a committed rate card. They will be confirmed before the service is generally available; we will not charge you a rate you have not been shown and accepted.
Fees are exclusive of VAT and any other applicable taxes. Failure to pay may result in suspension after notice.
Your data
You keep all rights in the data and content you put into the platform. We do not claim ownership of it, we do not use it to train models, and we do not sell it. We process it to run the service for you, as described in the privacy policy.
You can export your data while your account is active. After termination we delete it within a reasonable period, except where we are required to keep records for longer.
Availability
We aim to keep the service available and to deal with outages quickly. We do not currently offer a contractual uptime guarantee or service credits. That is deliberate: there is no public status page or independent availability monitoring yet, and a percentage nobody is measuring is not a commitment. When that monitoring exists, a service level agreement can follow, and this section will say so.
Support response targets by plan are on the support page. Those are targets, not guarantees.
Warranties and liability
The service is provided as it is. To the extent the law allows, we exclude implied warranties of merchantability and fitness for a particular purpose.
Neither side is liable for indirect or consequential loss, or for loss of profit, revenue or anticipated savings. Our total liability in any twelve-month period is limited to the fees you paid us in that period.
Nothing here excludes liability that cannot lawfully be excluded - including death or personal injury caused by negligence, and fraud.
Ending the agreement
You may close your account at any time. Paid plans run to the end of the period you have already paid for, and we do not refund part-periods unless the law requires it.
We may terminate for material breach that is not fixed within thirty days of us telling you about it, or immediately for the kinds of harm described under acceptable use.
Changes to these terms
We may update these terms. The date at the top changes when we do, and we will notify account holders of material changes before they take effect. Continuing to use the service after that means you accept the new version.
